Anthropic’s founders are seeking to retain majority voting control following a public offering. Reports indicate the artificial intelligence company is asking shareholders to approve a governance structure that would grant CEO Dario Amodei and his six co-founders special shares carrying a combined 50.1% of the vote on most corporate matters, provided at least three of them maintain a minimum stake.
The use of super-voting shares mirrors governance strategies employed by other major technology firms, though the collective multi-founder approach distinguishes Anthropic's proposed setup.
Economic Stakes and Pledges
The seven co-founders reportedly hold relatively modest equity stakes individually and have previously pledged significant portions of their wealth to philanthropic causes. The proposed super-voting shares do not grant additional economic value, but are designed to preserve strategic direction once public trading begins.
Additional governance mechanisms include Anthropic's Long-Term Benefit Trust retaining the authority to choose a majority of board members, an increase in founder-allocated board seats, and designated stock provisions for employees.
Valuation and Market Standing
