Loan Details and Objectives
U.S. Semiconductor Manufacturer Wolfspeed Inc. has received a conditional 30-year, $1.5 billion loan commitment letter from the U.S. Department of War through its Office of Strategic Capital, as the country continues its push to boost domestic semiconductor manufacturing. According to an official press release, Wolfspeed, which specializes in silicon carbide and gallium nitride materials and devices, will use the long-term financing to upgrade its gallium nitride epitaxy capabilities and to develop radiation hardening capabilities for current silicon carbide and future products.
The company states that silicon carbide and related technologies are critical to next-generation power and radio-frequency applications across defense, aerospace, artificial intelligence, critical infrastructure, and other strategic commercial markets. It will focus on national security applications, including communications infrastructure and electronic warfare systems. Wolfspeed CEO Robert Feurle noted that the financing positions the company to continue serving defense needs and expand capabilities for national security.
Terms and Conditions
Under the terms of the loan, which remains subject to final agreements and due diligence, Wolfspeed is required to issue warrants allowing the government to buy up to 7.5% of its fully diluted equity. The warrants would be priced off the stock's volume-weighted average price and handed over in proportion to each funded tranche. The financing also depends on government approvals, appropriations, and the consent of existing lenders, with the company noting no absolute guarantee that the deal will finalize.
Wolfspeed CFO Gregor van Issum described the conditional 30-year commitment as a significant milestone in optimizing the company's capital structure and financial foundation. Pending final diligence and negotiation, the long-dated capital is expected to support strategic priorities, enhance financial flexibility, and drive long-term value creation.
